Specifications include, but are not limited to: Participate with VPA, VPA’s general counsel, bond counsel, and financial advisor in the development of a plan of finance for issuances of any obligations. Assist in structuring bond issues, analyzing costs, risks and benefits of alternative financial vehicles, and determining the type of security that provides the best value to VPA. Manage the sale, direct the activities of the underwriting syndicate, run the books during the pricing, and allocate the obligations in accordance with industry practice and any objectives mutually agreed upon with VPA and its representatives. The pricing will be negotiated with VPA representatives and its financial advisor. Provide VPA with analysis of the market conditions prior to and during the sale of debt, summarizing the reception of debt in the marketplace, and evaluating the performance relative to the market and other securities of similar credit. Comply with the Issue Price regulations, the Hold-the-Offering-price rule and provide data, if applicable to a given series of bonds, as requested by tax and bond counsel. Develop and coordinate pre-marketing efforts for the bond issuance, including educating potential buyers of VPA’s funding streams used to back obligations of VPA.
