Specifications include, but are not limited to: A. Bond counsel will have all responsibilities, and will provide all services, normally associated with bond counsel for tax-exempt lease revenue bond issues. These services will likely include, but will not be limited to: (i) Preparing documents necessary or appropriate to the authorization, issuance, sale and delivery of the bond(s); (ii) Assisting with the issuance and sale of the bonds; (iii) Issuing an opinion as to the legality and validity of the bonds; (iv) Assisting in the planning and structuring of the institution’s bond issue(s) and in supervision of the procedures of issuance; (v) Issuing an opinion regarding the tax-exempt status of the bonds; (vi) Assisting in the preparation and development of a Preliminary Official Statement (“POS”), Official Statement (“OS”), and Notice of Sale (“NOS”) for the bond issue(s); (vii) Working in coordination with the municipal advisor regarding bond issue(s); 2 (viii) Attending to the details of the closings and printing of the bonds, as required; (ix) Assisting in presenting information to bond rating organizations and others, if necessary; (x) Attending all meetings required of them and associated with the bond issue(s); and (xi) Performing such other duties as are normally and customarily required of bond counsel. B. Disclosure counsel will have all responsibilities, and will provide all services, normally associated with disclosure counsel for lease revenue bond issues. These responsibilities and services will likely include, but will not be limited to: (i) Reviewing documentation prepared by bond counsel and the municipal advisor, and preparing any additional necessary legal documentation; (ii) Assisting with the issuance and sale of the bond(s); (iii) Issuing a 10b-5 opinion; (iv) Assisting in the preparation, development, and review of the POS, OS, NOS for the bond issue(s); (v) Attending all meetings required of them and associated with the bond issue(s), including but not limited to: (1) kick-off meeting; (2) due diligence meeting; (3) closing; and (4) 2 meetings of the Authority; and (vi) Performing such other duties as are normally and customarily required of disclosure counsel.
