The services to be provided by the Financial Consultancy Services shall include the following duties, as necessary: 1. Preparation of any and all documentation necessary to assist in the securing of Financing for the Project under any applicable financing program of the TWDB; 2. Preparation of documentation for the issuance of one or more series of obligations evidencing the financial assistance to be provided by the TWDB, issuing applicable legal opinions related to the same, and the submission of a transcript of proceedings necessary for the receipt of the approving opinion the Attorney General of such obligations; 3. Assistance in the preparation and negotiation of a Loan/Principal Forgiveness Agreement between the City and the TWDB; 4. Assistance in the preparation of any and all documentation, including escrow and related agreements, necessary to meet the obligations of the City under any approved TWDB Resolution for the use of loan proceeds provided under a Loan/Principal Forgiveness Agreement for the financing for the Project; 5. Assist the City in making such amendments to its City policies, rules, and regulations to meet implementation or regulatory requirements under TWDB loan and/or loan forgiveness rules; and 6. The attendance at Board meetings or meetings with the TWDB as necessary for the Financing of the Project.
