Contractor shall provide equipment, instruction, and training to University students enrolled in University’s rotor/fixed-wing aircraft program, which will include a practical flight training component. In doing so, Contractor shall comply with all Higher Education, State, and federal requirements. Contractor acknowledges that in providing the Services, it is supporting the University’s mission of supplying high quality education to its students and contributing to the advancement of the entire State of Texas. University agrees to cooperate with Contractor in its performance of the Services to enable Contractor to provide the Services. I. 14 CFR Part 141 Certification a. Contractor and all its employees and agents involved in performing the Work must meet all FAA certification requirements to operate under Part 141 rules if and as required. All equipment must meet standards and inspection requirements under Part 141 if and as required. b. In the event Contractor becomes aware that any part of its program is not in full compliance with Part 141 or has a reasonable basis to believe it may not be, Contractor shall notify University as soon as reasonably practicable. This notification responsibility applies in addition to, and not in lieu of, any other reporting responsibilities Contractor may have under State law, federal law, or applicable airport regulations. II. FAA and University Courses a. Flight Training i. Contractor shall offer University students the following certifications and ratings (“Certifications and Ratings”): Fixed-Wing 1. Private Pilot License (PPL) 2. Instrument Flight Rating (IFR) 3. Commercial Single Engine License I (CSELI) 4. Commercial Single Engine License II (CSELII) 5. Certified Flight Instructor (CFI) 6. Certified Flight Instructor - Instrument (CFII) 7. Commercial Multi-Engine Rating (CMEL) Rotor 1. Private Rotary Wing Aircraft Operations 2. Instrument Flight Rules for Rotary Wing 3. Theory of Commercial Rotary Wing Flight I 4. Theory of Commercial Rotary Wing Flight II 5. Principles and Methods of Rotary Wing Flight Instruction I 6. Principles and Methods of Rotary Wing Flight Instruction II ii. Contractor will provide all necessary flight and ground training as required by the FAA for each of the Certifications and Ratings in accordance with Contractor’s FAA-approved curriculum and as approved by University. iii. University will provide Contractor with the number of students admitted and enrolled in each of the courses (and in the case of incoming freshmen students not yet enrolled, an estimated class size) as of each June 1 prior to the beginning of the Fall semester and each November 1 prior to the Spring semester. The Parties will coordinate the necessary data exchange to effectively execute the flight training aspect of the program to provision for student identity verification, to provide authorization to begin, continue, or discontinue flight training, to facilitate preparations by Contractor to properly anticipate enrollments in flight training activities, and to reconcile expenses, revenues, and invoices. Contractor shall enroll each student into the FAA-approved flight training program for the applicable Certifications and Ratings (i) which are prepaid by the University; and (ii) which such student is eligible to pursue in accordance with FAA requirements. iv. Contractor will communicate to University, at regular bi-weekly intervals and on an as-needed basis, information about individual flight training for students as necessary for University to determine the regular attendance, achievement of learning outcomes, and any violations of safety protocols or code of conduct regarding any individual student. v. Contractor shall maintain all required certification(s) with the FAA so as to provide all necessary flight training for the Certifications and Ratings. vi. Contractor shall provide, during each academic semester, that number and type of aircraft as necessary to conduct flight instruction safely, effectively, and efficiently for the number of students and applicable Certifications and Ratings submitted by University for such semester.
