Legal Services under this contract will include, but are not limited to: · Serve as advisor to the C-TRAN Board of Directors. · Provide general legal advice. · Maintain knowledge of issues and current case law affecting C‑TRAN and communication of this law and potential impact to C-TRAN. · Proactively identify potential issues that could impact C-TRAN. · Prepare, review, consult, edit, and approve bid solicitation and contracts as needed. · Assist C-TRAN in federal and state grant application process. · Represent, coordinate, and/or support, as required, litigation/defense counsel. · Attend meetings and work sessions of the Board of Directors and C‑TRAN staff as required. · Review and attest contracts and resolutions adopted by the C-TRAN Board of Directors at Board meetings. · Respond to or acknowledge inquiries from authorized C‑TRAN staff within two (2) hours of initial contact with firm. · Report to and receive assignments from the Chief Executive Officer or their designated representative.
