A. DESCRIPTION OF SERVICES REQUIRED. The Department anticipates the need for legal services in connection with the issuance of bonds and the protection and enforcement of assets pledged to bond trust estates, including second mortgage loans originated under the Program, at any time and from time to time during the term of the contract at the request of the Department, as well as with respect to documentation and other legal considerations related to the Program. Bond Counsel (“Outside Counsel”) is expected to assign those attorneys and professionals employed by the firm who are best suited to appropriately respond to such requests in connection with the issuance of bonds and mortgage credit certificates, with ongoing compliance of any/all trust indentures, including enforcement of pledged assets, and other documents and agreements integral to the operation of the Program, including as relates to second mortgage loans representing down payment assistance provided through the Program. The firm will provide any such services as Outside Counsel, unless otherwise instructed by the Department and will work in conjunction with Single Family / Multifamily Bond Tax Counsel as instructed by the Department.
