The North Texas Tollway Authority ("NTTA") requires General Engineering Consultant (“GEC”) Services to assist NTTA staff and consultants with engineering-related aspect of various NTTA turnpike projects and support the operation, maintenance, construction and evaluation thereof. The GEC will perform the obligations of the “Consulting Engineers” under NTTA’s current Trust Agreements, as amended, and all supplemental, superseding or additional trust agreements. This Exhibit A, Scope of Services, is attached to and incorporated for all purposes into the Agreement for General Engineering Consultant, Contract 06319-NTT-00-PS-PD (the “Agreement”) between NTTA and the GEC. Any capitalized term not expressly defined in this exhibit will have the meaning given to that term in the body of the Agreement. This Scope of Services provides a description of the GEC’s Services to be provided under the Agreement that is more detailed than the description of the Services in the body of the Agreement. NTTA, at its option, may elect to modify, reduce or delete the Services described in this Scope of Services document, provided such action does not materially expand or enlarge the scope of the GEC’s Services under this Agreement. The GEC will operate as an extension of, and in complete coordination with, NTTA's staff, the Program Management Consultant, Construction Engineering Consultant, Maintenance Management Consultant, Facilities Management Consultant, Traffic and Revenue Consultant and Bond Counsel, and the GEC will comply with and support all NTTA policy and procedures including, but not limited to, the Project Delivery Department’s Quality Management System (“QMS”), which can be found on NTTA’s website. To that end, the GEC will be expected to represent and forward the interests of NTTA throughout all aspects and phases of NTTA's activities and will, when and as requested by NTTA, fully support NTTA in its dealings with contractors and suppliers, engineers, other consultants, legal counsel, accountants, financial advisors, traffic and revenue advisors, governmental entities, and the public, all in accordance with the standards customarily possessed and exercised by a practicing member of the engineering profession enjoying a favorable national reputation and currently practicing under similar circumstances. The GEC will provide qualified technical and professional personnel to perform to such standards the Services assigned under the Agreement. Furthermore, the GEC shall actively identify, evaluate, and propose innovative solutions, emerging technologies, and best practices relevant to tollway operations, infrastructure development, and asset management to enhance the NTTA's efficiency, safety, and longterm strategic goals. NTTA will request general consulting civil engineering services on an as-needed basis. There is no guarantee that any or all of the Services described in this Agreement will be assigned during the Term of this Agreement. Further, the GEC is providing these Services on a nonexclusive basis. NTTA, at its option, may elect to have any of the Services set forth herein performed by other consultants or NTTA's staff.
