1. General Requirements: This Contract is for the purchase, delivery and installation of two (2) TMEZK1508C (450 x 360) TAJIMA Commercial Embroidery Machines (“Equipment”) or equivalent. Prices set forth in Exhibit B include all cost associated with the delivery, installation and warranty of the Equipment. 2. Manufacturer Authorized Distributor: The Contractor must be an authorized distributor of the Equipment and must maintain authorization throughout the Term. The Contractor shall immediately notify the Client Agency in writing if Contractor’s authorization is revoked, suspended or terminated. Manufacturer authorization letters must indicate the make and model of the Equipment. 3. Delivery and Installation: Contractor shall deliver the Equipment and related components for installation within four (4) weeks of receipt of the Client Agency’s Purchase Order or other timeframe agreed upon by the Client Agency in writing (not to exceed) two (2) months from the receipt by the Contractor of the Purchase Order date. The Contractor and the Client Agency shall coordinate the installation of the Equipment. 4. Manufacturer Warranty: The Contractor shall warrant the Equipment provided under this Contract will be free from defects in materials and workmanship for the longer of: a. One (1) year from the date the Equipment is validated and placed into service; or b. The period specified in the Manufacturer’s standard warranty. This warranty includes, without limitation, the full cost of parts, labor, materials, packaging, handling, shipping and any other expenses incurred to repair or replace defective Equipment. The Contractor shall provide all warranty information to the Client Agency upon delivery. 5. Training and Technical Support: The Contractor shall provide and maintain technical support during Business Days and hours. If Contractor’s technical support contact changes, the Contractor shall immediately provide the Client Agency new technical support contact information. 6. Manuals/Training: The Contractor shall provide the Client Agency all Equipment operational manuals, catalogs, and any other documentation, including digital documents and publications, video tutorials, and webinars at no cost to the Client Agency. The Contractor shall provide training to an unlimited number of users, on the use of the Equipment and any other training topics determined by the Client Agency within two (2) weeks of the installation of Equipment at no additional cost to the Client Agency. Training may be conducted on-site or virtually at Client Agency request on the Client Agency specified dates and times and at Client Agency specified locations, at no cost to the Client Agency. The Contractor shall be responsible for all training cost associated with training conducted off-site and will work with the Client Agency to schedule all such training. 7. Guide for Contractors in a Correctional Environment: Contractor shall adhere to the DOC requirements set forth in Attachment 1 - Guide for Contractors in a Correctional Environment.
