1. Provide general legal advice and counsel to the Commission, General Manager and other HRSD staff related to matters of real estate law upon request. 2. Prepare legal opinions on matters of real estate law, particularly Virginia law applicable to political subdivisions of the Commonwealth. 3. Present written or oral reports or advice to the Commission when necessary. 4. Review and assist in preparation of resolutions, contracts of sale, deeds and other conveyances, and other related documents for real estate transactions as needed. 5. Participation with HRSD, the seller or purchaser, title insurer, and any credit provider in structuring real estate transactions. Coordination of, and attendance at, the closing. 6. Delivery of an appropriate opinion, if necessary, but this does not include an opinion regarding the title to parcel of land. 7. Preparation and filing of any real property transaction tax returns. 8. Reviewing draft legislation relating to real estate matters. 9. Provide specific legal advice and counsel to the Commission, General Manager and staff related to matters of eminent domain authority and use in accordance with the Code of Virginia and as provided in the HRSD Enabling Legislation. 10. Representing and/or assisting HRSD on extremely short notice, including appearances on behalf of HRSD in court. 11. Preparation of pleadings, including responsive pleadings, memoranda of law and other papers necessary in any action or proceeding where HRSD is a party. 12. Providing all pleadings, memoranda of law and other papers to HRSD attorneys and other staff as directed in a timely manner to permit review and comment. Providing legal advice (in writing if so requested) to HRSD regarding lease procurement matters, provisions, other real estate matters. 13. Providing legal representation and/or assistance to HRSD in any other real estate matters. 14. Performing any other legal services requested by HRSD in connection with matters concerning real estate or other related areas of law which include historic preservation and zoning law. 15. Ability to represent HRSD in judicial proceedings in both simple and complex litigation, and in arbitration and mediation. 16. Counsel will be generally available to meet with Commissioners, staff, and Committees at HRSD facilities.
