The SJPC is soliciting proposals from qualified individuals and firms interested in serving as Conflict Counsel to provide professional legal services for the SJPC upon request, when SJPC’s other appointed counsel (General, Labor, and/or Maritime) has a conflict. 1. Appointment of Conflict Counsel – Conflict Counsel shall be appointed by the Board of Directors of the SJPC and shall serve for one (1) year with two (2) additional one (1) year SJPC renewal options, and until their successor has been appointed and qualified. Conflict Counsel shall be an attorney-at-law in the Sate of New Jersey. In lieu of appointing an individual attorney, the SJPC may appoint a firm of attorneys, all members of which shall be attorneys-at-law in the State of New Jersey. Conflict Counsel shall execute a written contract with SJPC in the form of the template agreement for professional services included in this RFP package and shall receive such compensation as is agreed upon by SJPC. Conflict Counsel shall be utilized to perform the hereinafter mentioned duties in matters where SJPC’s regular appointed counsels (General Legal, Maritime and Labor Counsels) cannot represent SJPC due to a conflict of interest. 2. Duties – Conflict Counsel shall: A) Represent the SJPC in certain legal matters, as requested by SJPC, and shall advise and assist the Board of Directors, the Executive Director, and all departments as required in the administration of SJPC business and operations. B) Attend meetings of the Board of Directors, as requested, and give opinions and rulings regarding questions of law which may arise at Board meetings, or at the request of a majority of the Board Members or the Executive Director. C) Prepare or approve legal instruments relating to the business and operations of the SJPC, when requested or required.
