Project Description a. The County of Sacramento (“County”) owns and operates the Sacramento International Airport (“SMF” or “Airport”) through the Department of Airports (“Department”). SMF is a commercial service airport located 12 miles from downtown Sacramento with total annual passengers of more than 13 million. b. SMF is currently undergoing a $1.3 billion dollar capital expansion program (“SMForward”), the largest expansion in the Airport’s history. This expansion includes new passenger facilities, additional gates, significantly increased parking capacity, and ground transportation enhancements. c. The final project to be constructed as part of SMForward is a consolidated rental car facility (“ConRAC”) south of the Terminal A parking garage, as more fully described in Section 2. d. Department desires to partner with a private developer (“Developer”) to develop the ConRAC (the “Project”) as a type of fee-producing infrastructure facility at the Airport. The specific scope, Project delivery method, and financial structure of such partnership are not yet determined; a ground lease is contemplated as part of the final definitive development agreement, but Department is interested in utilizing some form of progressive delivery approach and private financing. Department anticipates that customer facility charges (“CFCs”) will be utilized as a core feature of the Project’s financing without recourse to general airport revenues. e. As more fully described in Section 3, Department expects the Developer to perform certain pre-development services to advance planning for the Project under the terms of an initial agreement with County (the “Preliminary Development Agreement” or “PDA”). This work will inform negotiation with Department of a definitive, long-term agreement to govern Project financing and delivery.
