The Successful Respondent shall be responsible for: (i) at the Successful Respondent’s sole cost, the designing, permitting, acquisition, construction, ownership, installation, interconnection operation and maintenance of a BPU-approved Community Solar Renewable Energy Project (or Projects), including all labor, materials, equipment, tools and supervision, (ii) execution of a Master Services Agreement in a form substantially similar to the form attached to this RFP, and (iii) sale of the energy generated from the Community Solar Project to the City of Hoboken’s subscribers (collectively, the “Services”). The MPA includes other provisions to provide significant financial and revenue security to the Successful Respondent, including: (a) use of the “auto-enroll” process per BPU Orders to assure lower cost and more reliable enrollment of low-to-moderate income customers, (b) enrollment of all subscribers into the consolidated billing system of PSE&G, pursuant to BPU Orders; this system provides for certainty of payment to the Project, regardless of whether subscriber bill payments are delayed do not occur, (c) a provision for full subscription up to Project production levels, (d) annual reconciliation, (e) certain adjustments to the Service Fees to adjust for cost changes, and (f) establishment and Replenishment Fee of a Reserve Fund as a backstop to secure revenues to the Supplier...
