Duties and Responsibilities – The Financial Advisor shall perform financial advisor services including the following: o Identify short-term and long-term financing needs of the Township of West Caldwell. o Advise on fiduciary responsibilities associated with the issuance of Bonds. o Monitor, on an ongoing basis, the Township’s debt position and make recommendations. o Size and Structure the debt, propose creative debt structures to designed to minimize the Township of West Caldwell’s costs and risks. o Assist in the preparation of bidding documents with respect to bonds and notes to be sold on a competitive basis, including, providing financial analysis and/or marketing advice in connection with current and future financing plans, inclusive of preparation of financing schedule and distribution list, advising the Township on bond pricing, investors and rating agencies relations and presentation; and advising , analyzing and assisting the 3 Township in connection with the structure and timing of financing. Assist in closing details and post-closing duties, including the development of closing memorandum. o Evaluate proposals from lenders submitting responses to the solicitation package. o Develop a timeline for completing the necessary work tasks and for delivering the requests results. o Provide advice to the Township on all other relevant issues that may arise in connection with the existing or prospective Bond portfolio.
