A. Review existing statutes, applicable case law, and administrative rulings to determine that authority exists for proposed bond issues and advise the County of legal matters relating to proposed borrowings. B. Offer direction and advice on the appropriate procedures to be followed by the County in connection with the authorization and sale of bonds or other debt instruments. C. Propose and review financing techniques which may assist the County in minimizing costs or simplifying debt financing. D. Provide legal advice and assistance for competitive and negotiated bond sales, as well as direct purchase and state/federal financing programs. E. Prepare necessary documentation for authorization of sale and issuance of bonds, including the proceedings providing for the advertisement and sale of the bonds, the bond resolutions, the closing documents, and any other necessary information. 1) Review the completed record of each bond sale. 2) Provide authoritative written opinions on the legal validity and binding legal obligations of bond issues. 3) Provide authoritative written opinions on the tax-exempt status of the interest of bond issues, as provided by federal and state tax laws. 4) Prepare and/or review all bond documents, including commenting on the Official Statement, where advisable, continuing disclosure agreements, and advise the County accordingly. 5) Prepare all necessary closing papers and Internal Revenue Service forms. 6) Take any such additional actions that will lead to the prompt and successful delivery of the bond and borrowed proceeds. F. Attend meetings of the County Board and Committees of the Whole, as requested. G. Attend meetings and cooperate with other consultants, advisors, and other participants during the bond issuance process and other projects, as needed. H. Advise the County, as is necessary or appropriate, on the impact and legality of pending state and federal legislation. Help draft special legislation, as requested. I. Provide the County with advice, when requested, on calculations, certifications and other legal advice required to meet arbitrage requirements of federal tax laws and regulations.
