State Personnel Programs Sole Source programs to Mike Ousley Productions, Inc. This Memorandum of Understanding will serve as a agreement between Mike Ousley Productions, Inc. (Ousley), and the Alabama Educational Television Commission a/k/a Alabama Public Television (APT) for the purchase of the rights to twelve (12) original programs (the Programs) produced by Ousley, one to be delivered each month during Fiscal 2025 (October 1, 2024 through September 30, 2025). The programs are highlight State of Alabama career opportunities in coordination with the State of Alabama Personnel Department (program name to be determined at a later date).WHEREAS, APT desires to purchase exclusive, unlimited broadcast, internet streaming and distribution rights to the twelve (12) original programs produced by Ousley, and; WHEREAS, Ousley has the right to grant to APT and desires to provide as much access as possible the Programs for outreach and education;Ousley agrees to provide to APT, exclusive, unlimited broadcast, internet streaming and distribution rights to twelve (12) original episode television programs produced by Ousley. Both Ousley and APT agree the Programs shall: a. be 27:40 minutes in length; b. meet APT's production standards;Ousley agrees to hold APT and its assigns and licensees, harmless from and against any loss, damage or expense, including court costs and reasonable attorney's fees, that APT and its assigns and licensees may suffer or incur as a result of any breach or alleged breach of the foregoing warranties.Nothing herein contained shall be deemed to constitute a partnership between, or joint venture by, or an agency relationship between, the parties. Neither party shall be bound by, or become liable for, any representation.For the right and specifications as outlined above, APT agrees to pay to Ousley one-hundred and twenty thousand dollars (120,000.00) divided into five payments outlined below, with each payment due upon receipt of an invoice for the respective production/program as such work is completed and programs are delivered to APT. - August 2024 - $20,000 - production costs, show development. - October 2024, January 2025, April 2025 July 2025 - $25,000 upon delivery of three (3) programs at the beginning of each respective quarter.Invoice shall be mailed to the following address: Alabama Public Television Attn: Accounts Payable 2112 11th Avenue South, Suite 400 Birmingham, AL 35205-2884 Please note: This is a Sole Source Notification.
