Specifications include, but are not limited to: • Negotiate and draft the Project Agreement and any related documents. • Identify risks posed to the City by the Project, including those inherent in the contemplated delivery mechanism and those relating to construction delays that would negatively impact the City’s interest in the 2028 Summer Olympic Games, and ensure such risks are effectively and fully mitigated in the Project Agreement. • Advise on and negotiate any appropriate incentives to ensure timely construction completion and necessary relief events, if any. • Establish the obligations of the City under the Project Agreement, including the structuring of any and all monetary payments. • Identify and negotiate the appropriate allocation of risk between the parties to the Project Agreement. • Consider and address the interplay between the Project Agreement and the APCLA’s private design-build construction contract with the general contractor. • Advise on and negotiate the appropriate level of City control over the downstream processes for the procurement of subcontractors. • Assist and advise the City relative to any and all other legal issues you anticipate may arise in connection with the City’s proposal to develop the Project utilizing the contemplated method of delivery.
