OED seeks to enter into a contract with an entity for legal counsel to support the Board in its role as it relates to the High-Cost Infrastructure Tax Credit (HCITC) to ensure Board actions are executed in accordance with Utah State Code (79-6-6) and Administrative Rule (R362-4). Legal counsel is responsible for representing OED’s interests and advising the Board/OED regarding the Board’s rights, obligations, and duties (including issues related to conflict of interest, ethics, GRAMA, and liability). Legal counsel will provide OED with any needed guidance during the HCITC approval process, including factors that the Board considers in evaluating applications for the HCITC program. Legal counsel will support OED as needed in drafting any legal documents needed for the Board to function successfully, including drafting HCITC agreements and related documents as appropriate and ensuring that quarterly Board meetings are in compliance with all applicable legal requirements, including Utah’s Open and Public Meetings Act. Legal counsel will need to attend all Board meetings on a quarterly/as-needed basis.
