General and Litigation Legal Counsel Services

Specifications include, but are not limited to: Corporate and Corporate Governance representation shall include, but may not be limited to 1. Representation of RIHousing with regard to general corporate, corporate governance, tax and regulatory matters; 2. Rendering of advice in contract matters, including but not limited to (i) the public procurement process, including bid protests and disputes and (ii) drafting and negotiating contracts (e.g. SAAS agreements, master services agreements, non­disclosure agreements, consulting agreements and memoranda of understanding); 3. Representation of RIHousing in administrative hearings and appeals, agency rulemaking proceedings, and regulatory enforcement actions; 4. Monitoring and rendering strategic advice and opinions regarding legislation, changes in law and issues affecting RIHousing and its business; and 5. Advice and counseling regarding corporate governance practices and public meetings, and attendance at RIHousing Board of Commissioners meetings
