Specifications include, but are not limited to: 1. Review proposed merger structure, pertinent agreements, proposed articles of incorporation and bylaws of the new proposed entity, Covina Valley Water Company, to ensure compliance with California Corporations Code §14300 and applicable laws included in the California Water Code and Health and Safety Code. Documents will be available the week of May 6, 2024 2. Evaluate the following items pertaining to the proposed entity, Covina Valley Water Company: o Proposed stock share structure and share classes (3 classes proposed – one class of appurtenant shares to comply with mutual water law; two classes of non-appurtenant shares tied to water rights) to ensure that the City’s existing shareholder interest in CIC will not be diluted by the proposed merger. o Proposed shareholder voting rights to ensure that the City’s existing voting rights in CIC will not be diluted by the proposed merger. o Proposed governance structure to ensure that the City’s existing representation on the CIC board of directors will not be diluted by the proposed merger. 3. Evaluate the proposed bylaws relative to the disposition of assets owned by shareholders of the proposed new entity to ensure that the City is not impacted by future dispositions. 4. Evaluate the proposed management structure of the proposed new entity and relevant cost sharing between shareholders of CIC and VHWC to ensure that the City is not disproportionately impacted, should a new entity be created.
