Specifications include, but are not limited to: Supplier will find and conclude business arrangements with Licensees which are advantageous to University of North Georgia (UNG) to promote our Trademarks through advertising, publicity, promotional and sponsorship activities. Deliverables will include but not be limited to: Supplier shall use its best efforts to negotiate and process all licenses on behalf of UNG. Supplier shall require each licensee to have product liability insurance covering any licensed product that will indemnify and hold harmless UNG from any product liability action. Supplier shall process all renewals and terminations of license agreements. Supplier shall obtain quarterly royalty reports to be submitted by each Licensee and review each report for completeness of information and correct royalty calculations. Supplier shall routinely conduct compliance reviews on behalf of UNG. Supplier shall investigate all known and suspected cases of infringement and consult with UNG to determine an appropriate course of action. Supplier Shall review and approve routine products. The supplier shall send non-routine and unusual products to UNG for approval. Supplier shall act as a general consultant to UNG’s licensing program and shall assist in any other licensing related matters which may arise. Supplier shall negotiate on behalf of UNG’s business terms and conditions of a license agreement with prospective Licensees using a form license agreement and charging fees and royalties approved by UNG. Supplier shall provide UNG with quarterly statements of their accounts, including any expenses incurred in the promotion and development of the Trademarks. Supplier shall provide UNG with a separate statement for all expenses. Supplier shall compensate UNG with a fee based on a percentage of Gross Revenues* resulting from the sale of Licensed Products, whether generated as a result of the efforts of the supplier.
