Specifications include, but are not limited to: 3.1.1 Primary Disclosure Tasks. For each bond issue Disclosure Counsel will assume principal responsibility for advising the City as to its disclosure responsibilities and assisting the City in discharging those responsibilities and will cooperate with City staff, bond counsel, tax counsel, underwriters and other members of the financing team by: 3.1.1.1 Assisting the City in satisfying federal and state securities law disclosure requirements in connection with municipal securities offerings, including, but not limited to: 3.1.1.1.1 Assuming principal responsibility for the preparation of all necessary disclosure documents required for each bond issue in accordance with federal securities laws, e.g., preliminary officials statement and official statements and private placement memorandums. Assisting with gathering and development of relevant information, including the performance of independent “due diligence” assessments; 3.1.1.1.2 Attending meetings as necessary to review documents pertaining to the transactions; 3.1.1.1.3 Providing assistance in the preparation of information for rating agencies, bond insurers, investor website and participation in presentations as requested; 3.1.1.1.4 Providing advice as needed or requested to assist the City staff and elected officials in understanding and pursuing its disclosure responsibilities in connection with primary offerings, particularly in light of recent regulatory precedent; 3.1.1.1.5 Providing the City with advice on Federal and State legislation, which pertains or relates to disclosure matters
