Specifications include, but are not limited to: Bond Counsel Services solicited include but are not limited to: • opinions on the legality and tax-exemption of existing and prospective debt instruments, • advice on debt structures, tax treatment of financings, bond documents, loan agreements and other documents, • advice on how proposed federal and state legislation might affect the legal standing and tax exempt status of existing bonds and future bond issues, • preparation and/or modifications to statutes or proposed legislation related to OBDD’s bond programs, • participation in judicial bond validation proceedings with respect to OBDD’s bonds, • recommendations on policy, legislation and other financial matters related to OBDD’s bond programs, • supervision of OBDD bond proceedings, • drafting resolutions authorizing the issuance of debt obligations, • preparation of bond documents, • evaluation of the structure of bond issuances to ensure compliance with applicable law, • closing of OBDD bond transactions, • preparation of bond sale transcripts, • advice on disclosure obligations, including the preparation of the disclosure document (i.e. the official statement), conducting due diligence investigations associated with the disclosure document and the preparation and delivery of an opinion that the bonds and indenture are exempt from registration or qualification under certain securities laws, duly executed and delivered, • assurance that the official statement does not contain any untrue statement of a material fact or omit any material fact necessary to make sure the statements therein are not misleading, • support related to compliance with continuing disclosure requirements, SEC and/or IRS audits, or other bond-related legal obligations post-issuance, and • performance of other services as defined by contract with Business Oregon.
