Specifications include, but are not limited to: Advising the Department concerning the legality of specific proposed taxable or tax-exempt obligations and compliance, in substance and procedure, of those obligations with law, including but not limited to federal securities laws and regulations and federal and state tax laws and regulations. Interviewing State agencies that will receive bond proceeds and issuing legal opinions, including opinions on the authorizations, tax status and the binding effect of the obligations and their associated documents and on the lawful use of the proceeds of the obligations, as may be required by the demands of the bond market for the obligations. Advising the Department on legal procedures and practices in the bond market for the obligations, including advice on the structuring and marketing of the obligations and working with financial advisors, underwriters and underwriters’ counsel. Preparing or assisting, as necessary, in the preparation of any documentation related to a specific issue of obligations, including but not limited to a bond authorization, arbitrage and use of proceeds certificate, continuing disclosure, bond resolution, preliminary official statement, official statement, bond sale notice, bond form, bid form, and bond purchase contract. Advising and/or assisting the Department concerning the maintenance of tax status of specific obligations, compliance with any requirements for representations or disclosures relating to the obligations and compliance with any documents issued or executed with respect to the obligations, including advice on issues related to the use of bond proceeds in programs. Advising the Department concerning accounting and investment procedures recommended or required for compliance with tax and federal securities and arbitrage rebate requirements, including advice on how to minimize excess earnings.
