Specifications include, but are not limited to: The CSN Foundation’s intent is to establish a contract for legal representation, advising, and support services listed in the RFQ. The Proposer must demonstrate minimum qualifications, competency, and availability to perform the following legal services as requested by the Executive Director and/or Board of Trustees of the CSN Foundation: a) Advise on legal issues related to the NSHE Board of Regents policies and procedures such as, but not limited to, the Nevada open meeting and public records law. b) Attend CSN Foundation Board of Trustees (BOT) board and committee meetings. The CSN Foundation BOT meets quarterly (four meetings per year). Three meetings are approximately 1.5 hours and one quarterly meeting is the annual board meeting/retreat and is four to six hours in duration. In addition, the CSN Foundation holds one to two committee meetings monthly (estimated 30 minutes – 1 hour). c) Review drafts of meeting agendas and meeting minutes to comply with the NSHE Open Meeting Law. d) Review, advise, and revise on CSN Foundation personnel, fiscal, and other policies and procedures, including the CSN Foundation bylaws. e) Review, advise, and revise drafts of contracts, memorandum of understanding, trusts, and scholarship and endowed scholarship agreements
