Specifications include, but are not limited to: identify a legal services provider (such as a law firm) that canprovide expert negotiation and contract guidance, behind the scenes and in the negotiatingroom, upon request. CUDs are negotiating network operating agreements, constructioncontracts, and other vendor contracts with a variety of parties. Assistance will includerepresenting individual CUDs and potentially groups of CUDs engaged in contract negotiationsfor the provision of services, operating agreements, and the purchase of materials. Types ofassistance will include expert selection of commercial forms, entity choice, enforcementprovisions, negotiations advice, research, and contract drafting and potentially participation innegotiations. Consultant will also be asked to be familiar with the terms of applicant grantconditions to which the CUD is subject, and to provide conflict of interest analysis.
