A. Market Research The Consultant shall, upon request by the Client, provide the following services: • Competitive landscape analysis for executive talent across specified roles. • Compensation benchmarking reports for executive-level positions. • Talent mapping and identification of potential candidates within targeted companies or sectors. • Succession planning research support. B. Executive Recruitment On an ad hoc basis, the Consultant shall: • Collaborate and meet with Client and stakeholders to ascertain required information to define role specifications, ideal candidate profiles, hiring criteria and sourcing strategies. • Conduct proactive outreach and screening of potential C-suite candidates. o Meet with Client and/or designee to provide progress and updates on each search. • Identify, attract and present a minimum of six (6) qualified and, vetted candidates with relevant background information and assessment summaries for each search. o Candidate vetting to include resume review, interviews and additional executive assessments (as required) to ascertain candidates’ strengths and leadership dimensions that would qualify him/her for the position. o Assess internal candidates based on same criteria if requested by Client. o Recommend areas in which the Client should delve deeper during its interview process. • Coordinate Client interview logistics including scheduling and provide ongoing candidate management support. o Collaborate with Client to design and finalize interview process, questions and selection panel. • Debrief with the Client following interviews and identify additional candidates if necessary. o Provide a detailed candidate comparison based on the role specifications and ideal candidate profile. • Provide in-depth reference checks to evaluate candidate’s leadership and job performance over a prescribed period (minimum past ten (10) years). o Verify professional certifications and educational background. • Provide candidate offer support including compensation consultation and negotiations. • Notify candidates not selected for role and provide Client with any feedback on the recruitment process. • Re-initiate additional executive search in accordance with the specification set forth above at no additional fee to Client (excluding direct out of pocket expenses) if selected candidate leaves the company’s employment within twelve (12) months of hire date. o Exceptions may include death, disability, change of control, company relocation or significant change in role responsibilities to be determined by the Client. 3. Engagement Structure • Services will be requested on an as-needed (ad hoc) basis. • Market Research and Executive Recruitment will be “blind” until the Client approves sharing the company name. • Each assignment will be initiated via a Work Order referencing this SOW, with specific deliverables, timelines, and fees.
