B. SCOPE OF SERVICE The services provided by the law firm, shall include, but shall not be limited to the following: • Assist in the negotiation, preparation and review of all contracts, opinions, documents and all writings necessary to implement development-related work. Materials may include ground leases, regulatory and operating agreements, declarations of trust and restrictive covenants, management agreements, development agreements, mixed finance amendments, program income agreements, loan documents and any documents utilized and required in the completion of RAD transactions. • Draft and/or review organization documents associated with the reorganization and/or formation of HACC subsidiary or entity to act as ownership, development or lending entity relative to development projects. Attorney may be required to provide legal assistance with tax matters for the entity. • Identify regulatory, statutory and other legal concerns or issues that must be addressed with regard to development projects and all activities related to real estate. • As requested by HACC, prepare and implement alternative funding proposals or agreements, to include but shall not be limited to, one or more Low-Income Housing Tax Credit (LIHTC) proposals and tax exempt bond funding. • Negotiate agreements, draft contracts and/or review agreements related to any on-site or offsite non-residential development in the development projects’ impact areas. • Assist with real estate and acquisition and disposition matters involving public and private real estate opportunities and other property related matters, i.e., title clearance, environmental, condemnation, mitigation, etc.
