It is the intent of the Joint Meeting to solicit Qualification Statements from Respondents that have expertise in the provision of legal services- Special Bond Counsel Services. Firms and/or persons responding to this RFP shall be licensed to practice law in the State of New Jersey and be able to demonstrate that they have the capability to perform the following bond counsel services: 1. The selected law “firm” will represent Joint Meeting, on behalf of its members, in any application to the New Jersey Environmental Infrastructure Trust (“NJEIT”) for financing of various capital projects. Respondents shall have particular experience and expertise as bond counsel to various counties, county authorities, municipalities, and municipal authorities throughout New Jersey. 2. The “firm” will coordinate any application to the NJEIT and provide advice, counsel and assistance to the Joint Meeting and its financial advisor in the preparation of the documents necessary to effectuate the Joint Meeting’s application, including, preparing bond resolutions, trust indentures, bond ordinances, and other security agreements. 3. The “firm” will be responsible for preparing and/or reviewing any Preliminary Official Statements or Official Statements of the Joint Meeting or its members. 4. The “firm” shall attend any meetings required by the Joint Meeting, its members, NJEIT, and/or the Local Finance Board in connection with the application for financing. 5. The “firm” shall render approving opinions relating to the validity of any bonds or other agreements entered into by the Joint Meeting and such other opinions as may be required from bond counsel in connection with any transaction. 6. Such other services as requested by the Joint Meeting.
