Specifications include, but are not limited to: A. UNLV Relations/Account Management Contractor shall assign one qualified representative to serve as the lead contact for UNLV. Contractor's representative shall be familiar with UNLV’s market. The Contractor's representative shall be responsible for all follow through and for ensuring responses to UNLV regarding the trademark licensing and branding program. B. Licensing Administration 1. Provide the necessary support and work with UNLV’s Athletics Department and ensure that all third party licensing agreements issued on behalf of UNLV are not in conflict with existing UNLV agreements and are in compliance with the UNLV’s policies and the laws of the State of Nevada. 2. Inspect and verify the quality, safety, and suitability of any product(s) to carry UNLV Marks. No products made in “sweat shop” conditions should be selected for licensing. Require licensees to meet quality control standards, and to use any industry standards to prevent counterfeit goods bearing UNLV Marks, such as holograms. 3. Provide product testing and other standards to minimize the liability of the UNLV’s licensed products and ensure that all products bearing UNLV Marks comply with all applicable laws and regulations. 4. Submit samples of any licensed product to UNLV at no cost as a part of the licensing process. Contractor shall maintain samples at its location as a part of the licensing process. Any sample that a licensee does not request be returned shall become the property of UNLV and the Contractor shall forward all samples to UNLV at their expense via the most economical method approved by UNLV. 5. Develop and distribute camera-ready and/or digital artwork to licensees. 6. Provide monthly e-mail files of licensee names, their aliases (dba, aka, etc.), licensing contacts, addresses, telephone numbers, fax numbers and a list of the products each licensee is authorized to produce to UNLV’s Athletics Department. 7. Provide a sample of the standard licensing agreement for UNLV. 8. Provide a sample of the standard licensing agreement for licensees. Describe the process for approving new licensees and ensure that any contract and insurance requirements for licensees are at least as broad and comprehensive as UNLV’s Contract and insurance requirements for Contractor. 9. Develop licensing policies and assist UNLV in the development of licensing policies which should include, but not be limited to, the establishment of insurance requirements, royalty rates, graphic approval, and product approval. 10. Negotiate and process all licenses, renewals, and terminations of licensing agreements on behalf of UNLV and with the approval of UNLV that do not exceed the scope or length of this Contract. 11. Seek out the best potential licensees for the UNLV Marks in terms of financing, manufacturing, promoting and marketing a quality item in the product segments for which a license will be granted. Contractor will provide UNLV a detailed list of potential licensees, to be updated and presented quarterly, through the full contract / partnership period. 12. Ensure that any licenses or licensing agreements do not conflict with UNLV's other existing licensing, sponsorship, concession, or signage agreements (or any future replacement contracts thereof). If a conflict is identified, Contractor will notify UNLV within 24 hours of the discovery.
