Washington County, hereafter known as the County, is inviting proposals for the purpose of selecting a contractor for bond counsel and other municipal finance legal services for the county. The county is seeking a contractor that has multi-specialty resources that can be accessed, if needed, for any given transaction, and that can bring diverse experience and knowledge to support the county in its debt financing goals. Mandatory Services Services will include, but are not limited to: • Review proposed financing with issuer’s staff and municipal advisor. Do all necessary legal research to ensure that financings can be undertaken in accordance with applicable laws. • Review proposed financing terms with issuer’s staff and municipal advisor and provide advice and suggestions as warranted. • Attend meetings with staff, municipal advisor, and meetings of the County Board. • Prepare resolutions calling for sale, notice of sale and terms and conditions of sale, awarding sale and other necessary resolutions. • Assist in preparation of offering documents. • Provide legal advice on disclosure issues and requirements. • Prepare necessary documentation as appropriate. • Prepare all necessary closing papers and Internal Revenue Service forms. • Review completed bond transcript and deliver approving opinion. • Participate in contract negotiations as needed and assigned. • Perform real estate and title work on pertinent financing as assigned; complete and file all necessary forms. • Provide advice on arbitrage calculations and arbitrage rebate matters. • Provide legal advice and/or opinions related to investment transactions as requested and directed by the County.
