KPPAis seeking qualified law firms or individual attorneys to provide legal services to the Systems as specified in this RFP. This solicitation is for both general and specific legal services on an as-needed basis. There is no guarantee of a minimum amount of services that may be requested by KPPA, or that a contracting law firm or individual attorney will or shall be the sole or preferred provider of services with regard to which a specific Personal Service Contract (PSC) is awarded. KPPA reserves the right to award contracts to multiple Offerors to ensure adequate coverage across multiple practice areas. Providers are further advised the description of the Scope of Services, listed below, is not intended to be limiting or exhaustive, but in each case is illustrative of the scope of services envisioned, and may include additional legal services reasonably understood to encompass the duties of general (or specific, as applicable) legal representation to governmental pension and insurance trusts. Providers must include in their proposals one or both of the following categories of services: Category 1) General Legal and Litigation; Category 2) Benefit Plan Compliance, Administration, Tax, and Fiduciary Counsel. For example, if a provider wishes to offer Category 1, but not Category 2, the provider must specify this preference in its proposal. Providers who wish to offer services under both categories must address each category separately within their proposal, as though each category were a standalone offering. 1. General Legal and Litigation which may include: a. Represent KPPA in federal and state court litigation or before an administrative tribunal, upon request, subject to conflict-of-interest review and approval. Upon request, coordinate litigation strategies with other firms and Providers who may also represent KPPA in related or unrelated matters. b. Represent KPPA in general legal matters, whether in litigation matters or advisory, as may be requested from time to time. c. Provide legal counsel and advice on proposed federal and state legislation. d. Represent KPPA in bankruptcy and collection matters. e. Provide legal counsel and advice on organizational governance. f. Attend Board committee meetings upon request. g. Provide other legal services as requested. 2. Benefit Plan Compliance, Administration, Tax and Fiduciary Counsel which may include: a. Provide advice and counsel, including, as requested, legal opinions on benefits transactions, including preparing, drafting and filing with appropriate federal and state governing or regulatory bodies any necessary or advisable applications for advisory or opinion letters, including, without limitation, IRS letter rulings. b. Provide advice and counsel, including, without limitation, legal opinions on general and specific fiduciary duties and responsibilities, and related matters. c. Provide fiduciary and other training to the Boards and others as requested. Attend or participate in Board meetings upon request. d. Provide advice and counsel to ensure that pension and welfare benefit plans are in full compliance with the Internal Revenue Code (IRC) tax-qualification criteria; prepare and file plan documents for qualification under the IRC upon request. e. Provide advice, counsel and recommendations on legislative and other initiatives to amend federal and state statutes, administrative regulations, policies, and procedures affecting the retirement systems managed and administered by KPPA, its members and beneficiaries. f. Provide advice and counsel, including, as requested, legal opinions on federal legislation, regulations and other guidance affecting KPPA, its members and beneficiaries; provide drafting services relating to benefits and benefits compliance and administration, including, without limitation, ADA, ADEA, FMLA, FLSA, HIPAA and related federal and state law and regulation. g. Attend Board and committee meetings upon request.
