The Water Cooperative of Central Florida (the “WCCF”, “Cooperative” or “Borrower”) an entity created through an interlocal agreement among Tohopekaliga Water Authority ("Toho"), City of St. Cloud, Florida (“St. Cloud”), Orange County, Florida ("Orange County") and Polk County, Florida ("Polk County"). Toho, in its role as Project Administrator for the WCCF and through the Procurement Department of Toho, is issuing this Invitation to Negotiate (the “ITN”) on behalf of the Cooperative, to identify, evaluate and select the institution, or institutions, that can offer WCCF a line of credit in a principal amount of up to $ 5 million. This amount may be outstanding at any time to finance alternative water supply capital improvements (the “Line”). No offering statement, nor any other type of disclosure document related to the proposed Line will be prepared, and no credit rating or CUSIP number will be requested. Proceeds of the Line will be used to (1) fund capital costs related to the Cypress Lake Alternative Water Supply Project and (2) pay issuance costs related to the transaction.
