Specifications include, but are not limited to: a. The Successful Proposer will have sole, exclusive and complete advertising rights, powers and privileges to sell advertising in and upon any of the following: i. Vehicles owned, leased and/or operated by the CNYRTA and its subsidiaries. 1. The Authority reserves the right to prohibit advertising on certain vehicles, at its own discretion. ii. Shelters owned, leased and/or operated by the CNYRTA and its subsidiaries. 1. A list of locations shall be furnished to the Successful Proposer by the CNYRTA. 2. The CNYRTA has sole judgment as to the number of shelters, which may increase or decrease from time to time. 3. The Authority reserves the right to prohibit advertising on certain shelters, at its own discretion. 4. The Successful Proposer will be responsible for placement of all shelter advertisements in frames or moldings and be responsible for the maintenance thereof. a. Such frames and moldings will become the property of the CNYRTA and its subsidiaries. iii. Transportation centers owned, leased and/or operated by the CNYRTA and its subsidiaries. 1. The CNYRTA has sole judgment as to the number and location of advertising panels therein. b. The Successful Proposer agrees that all advertisements on vehicles, including full wraps, will be direct application vinyl, THE SPECIFICATIONS FOR WHICH SHALL BE APPROVED BY CNYRTA PRIOR TO APPLICATION. i. Such direct application and removal shall be performed by the Successful Proposer without damage to any vehicle or other property of CNYRTA. ii. If damage to any vehicle or property occurs during the application or removal of said material, the cost of repair will be the sole responsibility of the Successful Proposer. c. During the life of any advertisement, it is anticipated that some damage may occur to the vinyl. Since it is important for said advertising to be in First Class condition, replacement vinyl must be applied as soon as possible. i. It is the Successful Proposer’s responsibility to maintain all vinyl and complete replacement within 10 days of notice. d. All advertisements must be in compliance with the CNYRTA Transit Advertising Policy dated April 25, 2003 (Attachment A). This policy may be amended from time to time. Advertisements must generally meet community standards and be in good taste and character. e. The CNYRTA and its subsidiaries reserve the right to display advertising and notices pertaining to their own operations in unsold space and locations, provided that such advertisements and notices shall not interfere with or obstruct the view of the spaces sold by the Proposer. i. If the CNYRTA or its subsidiaries furnish such advertisements, the Proposer will be responsible to install them. f. All ad installers and/or subcontractors must abide by Centro safety practices and procedures as well as building access procedures i. Practices and procedures will be reviewed with the Successful Proposer upon award. g. The Successful Proposer agrees to meet with representatives of the CNYRTA quarterly, or more frequently as requested from time to time by the CNYRTA, to monitor sales, promotions and business in general or for any reason.
