Description

The Housing Authority of the City of Aurora (AHA) is seeking competitive proposals to engage qualified legal assistance for a new tax credit project located in Aurora, Colorado Respondents are to provide a fee proposal (preferably either a fixed fee or a not-to-exceed fee) to provide legal services to assist AHA in completing the transactions and agreements necessary. The general description of these services include the following:

Review of executed real estate contracts
Review of all due diligence documents
Review of all title work and surveys
Review of LLLP documents
Review of loan documents and associated closing documents
Preparation of relevant attorney’s opinions (Title, LLLP, Loan closing)
Preparation of documents to form initial LLLP and all filings with the Secretary of State and IRS
Assistance in negotiating issues related to the partnership and investment agreement with the limited partner
Attendance at closings
Preparation of document binders after closing
Review of Carryover and Final Tax Credit Applications and issuance of requisite opinions
Review of LURA
Other legal services as necessary to develop this project that may not be contained in this RFP, specifically excluding litigation
