Stage 1: Site Due Diligence Consultant shall perform comprehensive due diligence and underwriting to support residential development on the Site. The following services shall be included, but are not limited to: • Conduct site studies, appraisals, financial valuations, topographic surveys, and schedules. • Perform comparable analyses, market studies, demand assessments, and risk evaluations for various residential development scenarios to UC ANR. • Provide data to inform to be included in the issuance of the Request for Information (RFI) and Request for Proposals (RFP). Stage 2: Developer Selection 1. Request for Qualifications (RFQ) Process: o Consultant shall assist in preparing and issuing an RFI to identify qualified residential developers. o Organize, analyze, and present RFI responses to UC ANR for review. 2. Request for Proposals (RFP) Process: o Consultant shall support the preparation and issuance of an RFI to select a developer from the RFI shortlist. o Consultant shall draft key transaction documents, such as the ground lease, development agreement, and supporting materials, in the RFP. o Consultant shall evaluate RFP responses, delivering a qualitative and quantitative assessment to UC ANR to facilitate Regental or delegatee approval. 3. Evaluation and Presentation: o Consultant shall assess RFI and RFP responses, evaluating financial capacity, regional residential development experience, risk factors, and proposed financial structures. o Present findings to UC ANR to support the selection of a residential developer. 4. Regental Support: o Consultant may be required to draft approval items or provide supporting documentation for Regental approval submissions. Stage 3: Regental Approval 1. Approval Documentation: o Consultant shall draft an approval item and related documents reflecting business terms agreed upon by UC ANR and the selected developer for Regental approval. 2. Modifications: o If the UC Regents require additional terms or conditions, Consultant shall assist in coordinating with the selected developer to address these requirements.
