Specifications include, but are not limited to: 1. Comply with all applicable CDFW policies and procedures. Contractor Key Staff resources shall review CDFW policies concerning the CDFW workplace and provide to the State Contract Manager a signed acknowledgment form agreeing to abide by the policies prior to performing any work under this contract. The policies and forms will be provided by the State. The Contractor shall adhere to CDFW Information Technology security, internet, and network policies. a. In addition to Contractor compliance with all applicable CDFW policies and procedures, the Contractor Key Staff shall complete CDFW Ethics Training and Security and Privacy Training within thirty (30) business days after contract execution. CDFW Security and Privacy Training must be completed annually throughout the term of the Contract. 2. Design, develop, implement, and support an ERP solution within the Contract scope using an approach that aligns with the deliverables and requirements detailed in this ATTACHMENT 1: APPENDIX A - STATEMENT OF WORK. 3. Complete all specified tasks, deliverables, and work products. 4. Maintain adequate staffing levels and all necessary staffing resources to successfully perform the tasks required in this Contract within the agreed upon schedule and to perform to the standards and Service Level Agreements set forth herein. Shortage of Contractor personnel shall not relieve the Contractor from completing agreement deliverables to the satisfaction of the CDFW and within agreement timelines. 5. Supervise all Contractor’s project personnel, and the Contractor shall mitigate any Contractor personnel issues. The Contractor shall be responsible for the quality of service delivered to the CDFW by any temporary backup personnel or permanent replacement personnel on the project team. 6. The Contractor shall notify the State Project Manager, in writing, no later than one (1) calendar day after any of the following events: a. The filing of a petition for relief under the United States Bankruptcy Code or the institution of any other insolvency proceedings by, against, or on behalf of the Contractor. b. The appointment of a receiver or trustee for Contractor c. The dissolution or liquidation of Contractor. d. The transfer to any person or entity of more than twenty-five percent (25%) of the assets or ownership interest of Contractor; and/or e. The Contractor becoming insolvent. Contractor shall be deemed to be insolvent if it has ceased to pay or has admitted in writing its inability to pay its debts for at least sixty (60) days in the ordinary course of business or cannot pay its debts as they become due, whether or not a petition has been filed under the United States Bankruptcy Code; and/or f. The execution by Contractor of a general assignment for the benefit of creditors. 7. The Contractor shall use State-approved tools for tracking and performing its work, including SharePoint, MS Office Suite, etc. 8. Provide status reports as detailed in the contractor deliverables.
