Specifications include, but are not limited to: Consultant must: 1. All firms must disclose in writing any potential conflict of interest upon the School District requesting services. Should a conflict of interest exist, the firm will be excused from that specific request for services. 2. Work under the supervision of the Chief Operations Officer or Designee. 3. Work as an independent consultant in a non-representative capacity and on an as needed basis providing support to the District marketing and sale of real estate owned by the District and all services required by the District involving disposition of real property. 4. Submit recommendations that may impact the disposition of real property for review and approval by the District. 5. Assist the District on an as needed basis with obtaining real property which may include open or undeveloped land, developed sites, or existing facilities for purchase, lease, or lease/purchase, and other services as necessary to complete these transactions. The services may include assistance in disposal of surplus properties. These services will include but not limited to: a. Willing seller activities. b. Negotiated purchases. c. Due diligence, including site inspection and market studies. d. Eminent domain purchases. e. Lease of office space, industrial, and retail properties. 6. Forgo taking any action that will bind the District with respect to any real property activity. 7. Acknowledge that it will not receive any commission payments until the District authorizes and closes on the disposition of District property or purchase of real property. 8. Coordinate with legal counsel on preparation for and attendance at real estate transaction closings, if such presence is requested. 9. Consultant shall provide all closing documentation needed in the transfer of real property. 10. Understand that the District, as the owner of School Board properties, reserves the sole right to determine which properties will be listed for sale. 11. Attend School Board meetings/workshops as requested by the Owner’s Representative. 12. All engineering data, maps, plans, specifications, drawings, reports, contracts, or other District furnished property shall remain the exclusive property of the District. The Consultant agrees that such District property will not be used for purposes other than for work for the District under this Contract. Consultants awarded work shall sign and deliver written itemized receipts for all such property and shall be responsible for its safekeeping. Upon conclusion of the work/services hereunder, such property shall be returned to the Owner's Representative.
